COPYRIGHT : BAYWOOD is the the copyrighted owner of the computer programmes : - "Debtors Creditors Stock General Ledger " in terms of The Copyright Act No 98 of 1987 (as amended) ("The SOFTWARE") 2. GRANT OF LICENCE : BAYWOOD hereby grants to the Licensee the right to Use the single copy of the SOFTWARE installed by BAYWOOD on the LICENSEE`S computer, subject to the payment of an annual software licence fee on or before the 1st January each year, the amount being specified by BAYWOOD. 3. EXCLUSIVITY : Only the LICENSEE shall use the SOFTWARE and only on the computer onto which it was installed by BAYWOOD. 4. TAMPERING : The LICENSEE shall not in any way reverse engineer, decompile or disassemble the SOFTWARE, nor permit that this be done. 5. TRANSFERABILITY : The rights granted to the LICENSEE in terms of this agreement are not tranferable. 6. CANCELLATION OF AGREEMENT : A breach by the LICENSEE of any of the provisions of the Agreement shall entitle BAYWOOD forthwith and without notice to the LICENSEE to remove the SOFTWARE from the LICENSEE`S computer.This shall not prejudice any other legal rights, which BAYWOOD may be entitled to exercise as a consequence of any such breach. 7. LIMITED WARRANTY : BAYWOOD warrants that, for the duration of this agreement, the SOFTWARE will substantially perform its described application function. 8. LIMITATION OF LIABILITY : To the maximum extent permitted by the existing applicable law, BAYWOOD shall not be liable for any damages arising out of the user or inability to use or defective operation of the SOFTWARE. 9. WHOLE AGREEMENT : This agreement records the complete agreement between the parties. No terms, warranties, representations or conditions not recorded herein shall be binding on the parties hereto.
